Sort Supply Logistics, LLC does not store complete payment card numbers, bank account credentials, or payment authentication data on its own servers except as necessary for legitimate business purposes and as permitted by applicable law. Payment information transmitted to Stripe is encrypted using industry-standard security protocols and is processed in accordance with Stripe's Privacy Policy, security standards, and applicable payment card industry (PCI-DSS) requirements.

To minimize the storage of sensitive financial information, Sort Supply Logistics, LLC utilizes Stripe, Inc. and other authorized financial institutions to securely process electronic payments. Payment card information is transmitted directly to our payment processor using encrypted connections and secure application programming interfaces (APIs). Where available, sensitive payment credentials are tokenized by our payment processor, allowing future transactions to be completed without exposing or storing full payment card numbers or authentication data within Sort Supply Logistics, LLC's systems.
Except where required by applicable law, accounting regulations, or legitimate business purposes, Sort Supply Logistics, LLC does not intentionally retain complete payment card numbers, card verification values (CVV/CVC), PINs, online banking credentials, or other sensitive authentication data after a transaction has been authorized. Financial information retained for business purposes may include transaction identifiers, payment status, billing contact information, partial payment account identifiers, and other records necessary for accounting, auditing, customer service, fraud prevention, dispute resolution, tax reporting, regulatory compliance, and contractual obligations.

While Sort Supply Logistics, LLC carefully selects reputable payment processing partners and implements commercially reasonable safeguards, no method of electronic transmission, storage, or internet communication can be guaranteed to be completely secure. Accordingly, Sort Supply Logistics, LLC cannot warrant or guarantee the absolute security of any information transmitted electronically.
Customers are responsible for maintaining the confidentiality of their account credentials, protecting access to authorized payment methods, and promptly notifying Sort Supply Logistics, LLC of any suspected unauthorized account activity, fraudulent transactions, or security incidents. Upon receiving notice of a suspected compromise, we may suspend or restrict account access, request additional identity verification, or take other reasonable measures to protect our customers, financial systems, and business operations.
Nothing contained in this Privacy Policy shall be interpreted as creating any warranty, guarantee, or representation that electronic payment systems are immune from unauthorized access, cyberattacks, or other security incidents. To the fullest extent permitted by applicable law, Sort Supply Logistics, LLC disclaims liability for security incidents resulting from circumstances beyond its reasonable control, including failures or compromises involving third-party payment processors, financial institutions, telecommunications providers, internet service providers, or other external systems, except to the extent such liability cannot be limited under applicable law.
Bank Account Information and ACH Authorization
To facilitate electronic payments, Automated Clearing House ("ACH") transfers, recurring payment arrangements, refunds, account verification, and other authorized financial transactions, Sort Supply Logistics, LLC may collect or receive certain banking information from customers through secure third-party financial service providers, including Stripe, Inc. and Stripe Financial Connections. Such information may include the name of the financial institution, account holder name, routing number, account number, account type, payment authorization status, transaction history necessary to verify account ownership, and other information required to establish or maintain authorized payment methods.
Where customers choose to link a bank account using Stripe Financial Connections or another supported financial service, banking credentials are collected and processed directly by the third-party provider through secure, encrypted connections. Sort Supply Logistics, LLC does not receive, access, store, or retain customers' online banking usernames, passwords, multifactor authentication credentials, or similar login information used to access financial institutions. Banking credentials remain subject to the privacy, security, and authentication controls implemented by the applicable financial service provider.
By providing bank account information or authorizing an ACH transaction, customers represent and warrant that they are the authorized owner or signatory of the designated financial account and authorize Sort Supply Logistics, LLC and its authorized payment processing partners to initiate one-time or recurring electronic debits and credits, including adjustments, refunds, reversal entries, or correction transactions as permitted by applicable law and the National Automated Clearing House Association ("Nacha") Operating Rules.
Bank account information is used solely for legitimate business purposes, including processing authorized payments, issuing refunds, collecting outstanding account balances, verifying account ownership, preventing fraud, complying with financial regulations, maintaining accounting records, responding to customer inquiries, and administering commercial credit accounts. We do not sell, lease, or disclose customers' banking information to third parties for advertising or marketing purposes.
Customers may revoke authorization for future recurring ACH payments by providing reasonable advance written notice to Sort Supply Logistics, LLC; however, such revocation shall not affect payment obligations arising before the revocation becomes effective, nor shall it relieve customers of any outstanding contractual payment obligations. Revocation requests may be subject to reasonable processing time and may not prevent electronic transactions that have already been initiated.
Customers are responsible for maintaining accurate banking information and promptly notifying Sort Supply Logistics, LLC of any changes to authorized payment accounts, suspected unauthorized transactions, or fraudulent activity. Sort Supply Logistics, LLC reserves the right to suspend shipments, services, customer portal access, or commercial credit privileges in the event authorized electronic payments are rejected, returned, disputed without basis, or otherwise fail to process.
Electronic payment processing services are provided by independent financial institutions and payment processors operating under their own privacy policies, contractual terms, and security programs. While Sort Supply Logistics, LLC exercises reasonable care in selecting reputable service providers, we are not responsible for the privacy, security, availability, or operational practices of third-party financial institutions, banking networks, or payment processors except to the extent required by applicable law.
Nothing contained in this Privacy Policy shall be construed as creating any fiduciary relationship, financial advisory relationship, banking relationship, or guarantee regarding the continuous availability or uninterrupted operation of electronic payment services. To the fullest extent permitted by law, Sort Supply Logistics, LLC disclaims liability for delays, interruptions, unauthorized access, cyber incidents, financial institution outages, ACH network disruptions, or other events beyond its reasonable control that affect electronic payment processing.
Payment Fraud Prevention, Identity Verification, and Chargeback Investigations
Sort Supply Logistics, LLC maintains policies, procedures, and technical safeguards designed to detect, prevent, investigate, and respond to suspected fraud, unauthorized transactions, identity theft, payment disputes, cybercrime, business email compromise, account takeovers, and other activities that may threaten the security of our customers, vendors, financial systems, or business operations.
To protect all parties involved in a transaction, Sort Supply Logistics, LLC reserves the right to verify the identity of any customer, authorized representative, purchaser, account administrator, or individual requesting financial transactions or account changes. Verification procedures may include confirming contact information, validating business ownership, requesting government-issued identification, confirming banking information, requiring additional supporting documentation, performing commercial credit verification, or utilizing third-party identity verification services where permitted by applicable law.
We may temporarily delay, suspend, reject, or cancel orders, payments, shipments, refunds, credit applications, or account modifications whenever we reasonably believe that a transaction presents an elevated risk of fraud, unauthorized activity, sanctions violations, money laundering, identity theft, or other unlawful conduct. Such actions may be taken without prior notice when necessary to protect our customers, vendors, employees, financial institutions, or business operations.
Customers acknowledge and agree that Sort Supply Logistics, LLC may communicate with payment processors, financial institutions, commercial credit agencies, law enforcement authorities, insurance carriers, auditors, legal counsel, cybersecurity professionals, and other authorized third parties when reasonably necessary to investigate suspected fraudulent activity, respond to payment disputes, recover improperly disputed transactions, comply with legal obligations, or protect our legal rights and business interests.
If a customer disputes, reverses, or initiates a chargeback or ACH return for a transaction that Sort Supply Logistics, LLC reasonably believes was validly authorized, we reserve the right to investigate the dispute, provide supporting transaction documentation to financial institutions or payment processors, suspend commercial credit privileges, withhold future shipments, require alternative payment methods, recover applicable fees and costs permitted by law or contract, and pursue any additional remedies available under applicable law.
Customers are responsible for maintaining the confidentiality of their account credentials, safeguarding payment authorizations, verifying invoice authenticity, and promptly notifying Sort Supply Logistics, LLC of any suspected unauthorized transactions, fraudulent communications, account compromise, or security incidents. Failure to promptly report suspected unauthorized activity may affect our ability to prevent additional losses or recover funds.
Nothing in this Privacy Policy shall limit Sort Supply Logistics, LLC's right to implement reasonable fraud prevention measures, modify internal security procedures, refuse service, terminate customer accounts, or decline transactions that present unacceptable financial, legal, cybersecurity, or operational risk. We reserve the right to cooperate fully with governmental authorities, financial institutions, payment processors, insurers, and law enforcement agencies in connection with any investigation involving suspected fraud, criminal activity, or violations of applicable law.
The fraud prevention measures described in this section are intended to protect both Sort Supply Logistics, LLC and its customers. While we employ commercially reasonable safeguards designed to reduce the risk of fraud, no payment system, electronic communication network, or identity verification process can eliminate all risk. Accordingly, Sort Supply Logistics, LLC does not guarantee that fraudulent activity, unauthorized transactions, cyberattacks, or financial crimes can be completely prevented and disclaims liability for losses resulting from circumstances beyond its reasonable control, except to the extent such limitation of liability is prohibited by applicable law.
Commercial Account Security and Authorized Users
Sort Supply Logistics, LLC provides secure online customer portals, electronic ordering platforms, Vendor Managed Inventory ("VMI") solutions, account management tools, and other digital business services (collectively, the "Commercial Services") to facilitate commercial transactions and improve operational efficiency. Customers are responsible for designating individuals who are authorized to access and use these Commercial Services on behalf of their organization ("Authorized Users").
Each customer represents and warrants that every Authorized User has the legal authority to act on behalf of the customer with respect to purchases, quotations, inventory management, payment authorizations, account administration, shipment requests, returns, credit applications, and other transactions conducted through the Commercial Services. Unless and until Sort Supply Logistics, LLC receives written notice to the contrary and has had a reasonable opportunity to process such notice, we may rely on instructions, approvals, and communications received from any Authorized User as being fully authorized by the customer.
Customers are solely responsible for maintaining the confidentiality and security of usernames, passwords, multi-factor authentication credentials, application programming interface (API) keys, access tokens, mobile devices, security certificates, and any other authentication credentials used to access the Commercial Services. Customers shall implement appropriate internal security policies, promptly remove access for former employees or contractors, and immediately notify Sort Supply Logistics, LLC of any suspected unauthorized access, compromised credentials, lost devices, or other security incidents that may affect the integrity of their account.
Sort Supply Logistics, LLC reserves the right, but assumes no obligation, to implement authentication procedures, identity verification measures, account monitoring tools, login restrictions, session timeouts, IP address monitoring, multi-factor authentication, or other commercially reasonable security controls designed to protect customer accounts and business information. We may suspend, restrict, or terminate access to any account or Authorized User whenever we reasonably believe that unauthorized activity, fraud, cybersecurity threats, policy violations, or other security risks may exist.
Customers acknowledge that electronic instructions submitted through authenticated customer accounts may be relied upon by Sort Supply Logistics, LLC in processing orders, inventory replenishment requests, payment authorizations, delivery instructions, returns, and other business transactions. Except where prohibited by applicable law or resulting from our gross negligence or willful misconduct, Sort Supply Logistics, LLC shall not be liable for transactions initiated through valid customer credentials, including transactions later determined to have been submitted by unauthorized individuals who obtained access through the customer's failure to adequately safeguard authentication credentials.
Customers remain solely responsible for reviewing account activity, purchase history, inventory reports, invoices, payment confirmations, and other account records for accuracy. Any unauthorized transaction, suspected security breach, discrepancy, or account irregularity should be reported to Sort Supply Logistics, LLC without unreasonable delay. Prompt reporting assists in limiting potential losses, preserving evidence, and supporting investigations involving payment processors, financial institutions, insurers, or law enforcement authorities.
Sort Supply Logistics, LLC may maintain audit logs, access records, transaction histories, device identifiers, IP address information, authentication records, and other system-generated data relating to the use of the Commercial Services for purposes including security monitoring, fraud prevention, regulatory compliance, dispute resolution, system maintenance, business continuity, and legal enforcement. Such information may be retained in accordance with our data retention policies and applicable law.
Nothing contained in this Privacy Policy shall be interpreted as creating a duty for Sort Supply Logistics, LLC to continuously monitor customer accounts for unauthorized activity or to guarantee the prevention of cyberattacks, credential theft, phishing, malware, ransomware, social engineering, business email compromise, or other cybersecurity incidents. Customers acknowledge that cybersecurity is a shared responsibility and agree to maintain reasonable administrative, technical, and physical safeguards to protect their own systems, personnel, and credentials.
Sort Supply Logistics, LLC reserves all rights available under applicable law and its contractual agreements to refuse service, suspend account access, require additional identity verification, recover losses, pursue available legal remedies, or cooperate with financial institutions, insurance carriers, payment processors, cybersecurity professionals, and law enforcement agencies whenever necessary to investigate or respond to suspected fraud, unauthorized account activity, or other security-related events.
Vendor Managed Inventory (VMI) Data Ownership and Confidentiality
As part of its Vendor Managed Inventory ("VMI") services, Sort Supply Logistics, LLC may collect, receive, generate, analyze, or maintain information relating to customer inventory levels, stock replenishment requirements, consumption history, purchasing trends, demand forecasts, product usage, warehouse locations, barcode or RFID scans, replenishment schedules, inventory transactions, supplier information, maintenance records, operational workflows, and other inventory-related business information (collectively, "VMI Data").
Except as otherwise agreed in writing, ownership of customer-specific VMI Data remains with the applicable customer. Nothing contained in this Privacy Policy transfers ownership of a customer's confidential business information, inventory records, purchasing history, or proprietary operational information to Sort Supply Logistics, LLC. Customers retain all rights, title, and interest in their confidential business information, subject to the rights granted herein for the purpose of providing contracted services.
Customers authorize Sort Supply Logistics, LLC to collect, access, store, process, analyze, and use VMI Data as reasonably necessary to perform inventory management services, fulfill orders, optimize replenishment schedules, improve inventory accuracy, generate reports, provide customer support, administer commercial accounts, comply with contractual obligations, detect fraud, maintain system security, satisfy legal requirements, and improve our products and services.
Sort Supply Logistics, LLC will use commercially reasonable efforts to maintain the confidentiality of customer-specific VMI Data and will not knowingly disclose such information to unaffiliated third parties except as necessary to provide requested services, comply with applicable law, respond to lawful governmental requests, protect our legal rights, prevent fraud, facilitate mergers or business transactions, or as otherwise authorized by the customer.
Notwithstanding the foregoing, Sort Supply Logistics, LLC may create, use, retain, and disclose aggregated, anonymized, de-identified, or statistical information derived from VMI Data, provided such information cannot reasonably identify a specific customer, individual, facility, or commercial operation. Aggregated information may be used for benchmarking, service improvements, demand planning, operational analytics, inventory optimization, product development, quality assurance, research, forecasting, cybersecurity, and other legitimate business purposes.
Customers acknowledge that the effectiveness of VMI services depends upon the accuracy, completeness, and timeliness of inventory information provided to Sort Supply Logistics, LLC. Customers remain responsible for verifying inventory records, reporting discrepancies, maintaining appropriate internal controls, and promptly notifying Sort Supply Logistics, LLC of any errors or unauthorized modifications affecting customer inventory information.
Upon termination of a VMI relationship, Sort Supply Logistics, LLC may retain customer VMI Data for commercially reasonable periods necessary to satisfy legal obligations, resolve disputes, enforce contractual rights, maintain business records, complete outstanding transactions, or comply with document retention policies. Thereafter, customer-specific VMI Data will be securely deleted or anonymized in accordance with our record retention practices, unless a longer retention period is required or permitted by applicable law.
Customer Data Ownership and License
Except as expressly provided herein, each customer retains ownership of its confidential business information, inventory records, purchasing history, pricing information, forecasts, supplier information, and other proprietary data submitted to Sort Supply Logistics, LLC ("Customer Data").
By using the Services, the customer grants Sort Supply Logistics, LLC a non-exclusive, worldwide, royalty-free license to access, use, reproduce, transmit, store, process, analyze, display, and otherwise utilize Customer Data solely to provide contracted services, fulfill orders, administer commercial accounts, improve operational efficiency, provide Vendor Managed Inventory (VMI) services, comply with legal obligations, maintain system security, prevent fraud, develop product enhancements, and perform other legitimate business purposes consistent with this Agreement and applicable law.
Sort Supply Logistics, LLC shall retain all right, title, and interest in its proprietary software, source code, object code, databases, workflows, inventory methodologies, forecasting models, dashboards, analytics, artificial intelligence systems, algorithms, documentation, trade secrets, trademarks, copyrights, patents, know-how, and other intellectual property developed independently or in connection with providing the Services.
Nothing contained in this Agreement transfers ownership of Sort Supply Logistics, LLC's intellectual property to any customer, nor shall any customer acquire rights in derivative works, analytical methodologies, software enhancements, benchmarking data, or business processes created by Sort Supply Logistics, LLC during the course of providing services.
Limitation of Liability and Customer Responsibilities
Customers acknowledge that the accuracy of inventory forecasts, replenishment recommendations, purchasing analytics, reporting, and Vendor Managed Inventory services depends upon the accuracy, completeness, and timeliness of information provided by the customer. Customers remain solely responsible for reviewing inventory reports, purchase orders, invoices, shipment confirmations, pricing, account activity, and other business records for accuracy before relying upon such information for operational or financial decisions.
To the fullest extent permitted by applicable law, Sort Supply Logistics, LLC shall not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost profit damages arising out of or relating to the use of the Services, including delays in delivery, inventory shortages, forecasting inaccuracies, data transmission failures, software interruptions, cybersecurity incidents, third-party service outages, or unauthorized access to customer accounts, except to the extent resulting from Sort Supply Logistics, LLC's gross negligence or willful misconduct.
In no event shall the aggregate liability of Sort Supply Logistics, LLC arising out of or relating to the Services exceed the total amount paid by the customer to Sort Supply Logistics, LLC during the twelve (12) months immediately preceding the event giving rise to the claim, except where such limitation is prohibited by applicable law.
Electronic Transactions and Digital Communications
Customers agree that electronic communications, electronic signatures, digital purchase orders, online approvals, authenticated customer portal activity, electronic invoices, payment authorizations, account updates, email communications, text messages, and other electronic records exchanged between the customer and Sort Supply Logistics, LLC shall have the same legal force and effect as original paper documents and handwritten signatures to the fullest extent permitted by applicable law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the Uniform Electronic Transactions Act (UETA), where applicable.
Sort Supply Logistics, LLC may rely upon electronic instructions transmitted through authenticated customer accounts, designated email addresses, secure APIs, integrated ERP systems, or other approved communication methods as being authorized by the customer unless the customer has previously provided written notice revoking such authority.
Customers are responsible for maintaining current contact information and ensuring the security of all communication channels used to conduct business with Sort Supply Logistics, LLC. Customers assume responsibility for transactions initiated through their authorized systems, user accounts, or designated representatives unless resulting directly from the gross negligence or willful misconduct of Sort Supply Logistics, LLC.
